HydraLite Pro — License and Use Terms

1. Who offers the software and which documents apply
HYDRALITE SpA ("HydraLite") owns all rights in the computer program HydraLite Pro (the "Software") and is the party licensing it to you.
Your relationship with HydraLite is governed, in this order, by: (a) the Commercial Offer you accept when subscribing (plan, price, period, beta conditions if applicable); (b) these Terms; (c) the Privacy Notice; and (d) the third-party component notices included in the Software. No document reduces rights that applicable law declares non-waivable.
These Terms are offered in English and apply to users who accept them in English. They are an independent instrument with its own governing-law regime (clause 14). Each published version carries a number and date; HydraLite keeps the text accepted by each user together with the date, version and acceptance action (see clause 15).
2. Definitions
- Account: your personal, non-transferable registration with HydraLite, identified by your email address.
- License: the authorization to use the Software linked to an Account during a Period.
- Period: the contracted term (monthly or annual) or the Trial term.
- Activation: each device on which you sign in with your Account and the Software is enabled.
- Project: any file, geometry, design, terrain data, result, report or drawing you create or import with the Software.
- Read-only mode: the state of the Software when no License is in force (clause 8).
3. The license
3.1. HydraLite grants you a limited, non-exclusive, non-transferable and revocable license to install and use the Software on Windows and macOS, with the capabilities included in the Offer, during the Period, for your professional or personal activity.
3.2. The License is per named user: one Account, one person. It may be active on up to two (2) devices simultaneously. You may deactivate a device from your Account to activate another. Sharing an Account among several people is a breach of these Terms.
3.3. The Software validates the License online. Without a connection it keeps working for up to thirty (30) days from the last successful validation; after that it switches to Read-only mode until it validates again. The Software warns you in advance as that limit approaches.
3.4. The License covers the current version and the updates HydraLite publishes during the Period. Capabilities announced as future features are not part of the Offer until they are released and their scope is communicated.
3.5. During a beta program (private or commercial), access is granted by invitation, with limited seats and any additional conditions communicated with the invitation. Beta status does not deprive you of your legal rights.
4. Free trial
Every new user may use the Software for thirty (30) days at no cost and without registering a payment method. The Trial may have a reduced functional scope compared to the paid License: the modules and capabilities included in the trial version are indicated on the website and inside the Software before you start it, and HydraLite may adjust them between versions without affecting Trials already started. When the Trial ends the Software switches to Read-only mode; any later purchase is an express act of the user, never automatic. Each Account is entitled to one Trial only.
5. Your projects belong to you
5.1. You keep full ownership of your Projects. Neither the License, nor its expiry, nor its termination transfers any right over them to HydraLite, nor authorizes HydraLite to use, publish, display them or train models with them.
5.2. Projects are stored on your device. HydraLite does not receive them unless you voluntarily send them for support; in that case they are handled under the Privacy Notice and the support procedure, and deleted within the periods stated there.
5.3. You are responsible for holding the necessary rights over the data you import (orthophotos, elevation models, cartography, catalogues, third-party data).
6. Professional use and technical scope
6.1. HydraLite Pro is a tool that supports the design, analysis and understanding of agricultural hydraulic networks on real terrain. You define the model and are responsible for reviewing input data, units, topography, boundary conditions, equipment, assumptions and results, and for having the design reviewed and signed by the licensed professional required by the regulations of the place where it will be used.
6.2. Each version documents the analyses it covers, their assumptions, validity ranges and limitations. The absence of a warning does not certify that an uncovered phenomenon has been evaluated. A result from one model must not be presented as an analysis of a different phenomenon.
6.3. Two users with the same model, data and configuration obtain the same technical results: the License only controls access to capabilities and never alters the calculation.
7. Subscription, price, renewal and cancellation
7.1. Plans. A single product, with a monthly or annual subscription of equal capabilities. The list price, currency and total payable are stated in the Offer before you subscribe. Applicable taxes are shown or added at checkout as indicated by the seller.
7.2. Who sells. Sales to you are made by a merchant of record, which acts as the seller towards you and handles billing, taxes and receipts under its own purchase terms; the License itself remains between you and HydraLite under these Terms.
7.3. Renewal. The subscription renews for equal Periods. Where billing is automatic, this is disclosed before you subscribe and reasonable advance notice is given before each annual renewal. Where payment is by invoice, renewal requires payment; without it, the License expires at the end of the Period and the Software switches to Read-only mode.
7.4. Cancellation. You may cancel renewal at any time from your Account. Cancellation keeps your access until the end of the Period already paid; it does not generate a refund for the current Period, except for any withdrawal or other non-waivable legal right you may have depending on your status and location.
7.5. Founder pricing. If the Offer includes a promotional price for early customers, its conditions (percentage, duration, seats) are stated in the Offer and prevail over any earlier communication.
7.6. Price changes. A change in the list price is notified at least thirty (30) days in advance and applies from the next renewal; you may cancel before then at no cost.
8. What happens when the License expires
When the License expires (end of Trial, non-renewal or cancellation) the Software enters permanent Read-only mode: you can keep opening and viewing your Projects and the results and reports already generated. Creating, editing, calculating, exporting and importing require a current License. The change applies at the next launch of the Software, never interrupting a running session or destroying unsaved work. Read-only mode has no time limit.
9. Updates and changes
9.1. Each version is published with release notes stating new features, fixes, known limitations and, where a change affects calculation results or Project file formats, what to recalculate or review and how files are migrated. Migrations keep a recoverable copy of the original.
9.2. HydraLite maintains the current version with updates and gives reasonable advance notice of the end of support for earlier versions.
9.3. Installing an update does not imply accepting new terms. A material change to these Terms is presented prominently, with a summary, the full text, its effective date and the consequences of not accepting, and requires express acceptance; if you do not accept, you keep your License under the previous Terms until the end of the paid Period and retain Read-only mode. Changes are not retroactive.
10. Prohibited uses and third-party components
10.1. You must not: circumvent or disable the license controls; redistribute, sell, rent, sublicense or lend the Software; share your Account; use the Software to infringe third-party rights or the law; or decompile or reverse-engineer it, except where the law expressly permits (for example, for interoperability), which is respected.
10.2. The Software incorporates open-source components and a typeface under their own licenses (BSD, MIT, Apache 2.0, SIL OFL 1.1, among others), listed inside the Software. Those licenses govern those components; nothing in these Terms restricts them.
11. Intellectual property
The Software, its code, algorithms, interface, documentation and visual identity belong to HYDRALITE SpA and are protected by copyright law and applicable international treaties. The License does not transfer ownership. "HydraLite" is a trademark with registration in process. Technical data from manufacturer catalogues incorporated as facts are not owned by HydraLite or by you.
12. Warranty and liability
12.1. HydraLite warrants that the Software performs in accordance with its documentation during the Period and will correct reproducible defects reported to it within a reasonable time; if it cannot, you may terminate the License with a proportional refund of the unused Period. This is the conformity warranty; any mandatory statutory warranties also apply.
12.2. The Software does not guarantee the correctness of an engineering design: that responsibility lies with the professional who prepares and signs it (clause 6).
12.3. To the extent permitted by law, HydraLite is not liable for loss of profit, loss of data not attributable to a defect of the Software, or indirect damages, and its total liability for all causes is limited to the amount you paid in the twelve (12) months preceding the event giving rise to it. This limitation does not apply to willful misconduct or gross negligence, to damage to life or health, or to anything the law declares non-waivable, including consumer rights.
13. Suspension and termination
13.1. HydraLite may suspend an Account for serious breach (account sharing, circumvention of controls, infringement of rights), with prior notice stating the reason and a period of ten (10) days to remedy where possible. Suspension is proportional to the breach. A security emergency is communicated and limited to what is strictly necessary.
13.2. Suspension or termination never prevents you from accessing your Projects in Read-only mode or exporting reports already generated.
13.3. Terminating the License, cancelling renewal and requesting deletion of personal data are separate acts; the latter is governed by the Privacy Notice.
14. Governing law and dispute resolution
14.1. These Terms are governed by the laws of England and Wales, and any dispute not resolved under clause 14.3 shall be submitted to the courts of England and Wales — without prejudice to any mandatory consumer-protection rules of your country of residence, which prevail where they so provide, including your right to bring proceedings before your local courts where that right cannot be waived.
14.2. The purchase contract is governed by the terms of the merchant of record that makes the sale.
14.3. Before any action, the parties will attempt to resolve the dispute in writing through support@hydralitepro.com within thirty (30) days.
15. Acceptance and records
Acceptance occurs through your affirmative action (ticking the box and clicking "I accept") when creating the Account or activating the License. HydraLite keeps: the version and date of the Terms, the summary shown, the language, the date and time of acceptance and the Account email. No IP address or device fingerprint is collected for this purpose.
16. General provisions
If any clause is found invalid, the remaining clauses stand. Failure to exercise a right does not imply waiver. You may not assign the License; HydraLite may assign it to a successor of its business upon notice. Communications are sent to the Account email.
